TERMS OF SERVICE

By accessing or using Roadie ("the Service," "the Platform"), operated by Roadie / OpsForge Consulting LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not access or use the Service.

These Terms apply to all users of the Service, including DJs, performers, event organizers, and any other individuals who access the Platform.

Roadie is an AI-powered booking management platform designed for professional DJs and live performers. The Service includes, but is not limited to:

• AI-assisted booking inquiry management and negotiation
• Gig Finder — automated discovery of DJ booking opportunities across multiple markets
• Venue contact enrichment and automated proposal delivery
• Rate card management and dynamic pricing tools
• Electronic Press Kit (EPK) builder and public booking pages
• Earnings tracking and booking pipeline management
• Calendar and availability management

To access the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must be at least 18 years of age to create an account. By registering, you represent and warrant that you meet this age requirement and that all information you provide is accurate and truthful.

You agree to notify us immediately at [email protected] of any unauthorized use of your account.

You agree not to use the Service to:

• Violate any applicable law or regulation
• Send unsolicited commercial messages (spam) to venues or event organizers
• Misrepresent your identity, credentials, or booking history
• Scrape, crawl, or systematically extract data from the Platform without authorization
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to gain unauthorized access to any part of the Service or its related systems
• Use the AI features to generate misleading, defamatory, or fraudulent content
• Circumvent any technical measures we use to provide or protect the Service

Roadie uses artificial intelligence to generate booking proposals, pitch messages, bio content, and other communications on your behalf. You acknowledge and agree that:

• You are solely responsible for reviewing AI-generated content before it is sent to third parties
• AI-generated content may contain inaccuracies and should not be relied upon without human review
• We do not guarantee the accuracy, completeness, or fitness for purpose of any AI-generated output
• You retain full responsibility for any communications sent through the Platform on your behalf

Certain features of the Service require payment. All fees are stated in U.S. dollars. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis according to the plan you select.

We reserve the right to change our pricing at any time. We will provide at least 30 days' notice before any price increase takes effect for existing subscribers.

All fees are non-refundable except as required by applicable law or as expressly stated in our refund policy.

The Service, including all software, design, text, graphics, and other content created by us, is owned by or licensed to the Company and is protected by copyright, trademark, and other intellectual property laws.

You retain ownership of all content you submit to the Platform, including your artist profile, press kit materials, and booking history. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and display that content solely for the purpose of providing the Service.

The Service integrates with third-party services including but not limited to Twilio (SMS and voice), payment processors, and search data providers. Your use of these integrations is subject to the respective third-party terms of service. We are not responsible for the actions, content, or policies of any third-party service.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT GIG FINDER RESULTS WILL BE ACCURATE, COMPLETE, OR RESULT IN ACTUAL BOOKINGS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion, with or without notice. Upon termination, your right to use the Service will immediately cease.

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Dallas County, Texas.

We reserve the right to modify these Terms at any time. We will notify registered users of material changes via email or a prominent notice on the Platform. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
